Nexvisory Terms and Conditions

Last updated: 28 August 2026

1. Introduction

Welcome to Nexvisory. These Terms and Conditions ("Terms") govern your access to and use of the Nexvisory website, software, and all related services (collectively, the "Platform" or "Service"), operated by Nexvisory ("Nexvisory", "we", "us", or "our"). Nexvisory is a web-based, Software as a Service (SaaS) business management platform designed to help small businesses, freelancers, consultants, agencies, and other service-based organisations manage customer relationships, projects, HR administration, and financial record-keeping through a single online dashboard.

By creating an account, accessing the Platform, or otherwise using any part of the Service, you ("Customer", "you", or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, organisation, or other legal entity, you represent that you have the authority to bind that entity, in which case "you" and "your" will refer to that entity. If you do not agree to these Terms, you must not access or use the Platform.

These Terms should be read alongside our Privacy Policy, our Refund Policy, and any other policies referenced herein, all of which form part of the agreement between you and Nexvisory.

Nexvisory is intended to support businesses that need a single, organised place to manage customer relationships, project work, employee administration, and financial record-keeping. Because the Platform touches several different areas of a Customer's operations, these Terms are correspondingly detailed. We encourage you to read them carefully, and to raise any questions with our support team before relying on the Platform for your business-critical activities. If any part of these Terms is unclear, please contact us using the details in Section 21 before proceeding with registration.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • "Account" means the unique account created by a Customer to access and use the Platform.
  • "Content" or "Customer Data" means all data, records, documents, and information uploaded, entered, or otherwise submitted to the Platform by a Customer or its Authorised Users, including customer records, leads, project data, employee records, and financial information.
  • "Authorised User" means any individual permitted by the Customer to access and use the Platform under the Customer's Account, including employees, contractors, or agents of the Customer.
  • "Subscription" means the paid plan selected by the Customer that determines the features, functionality, and usage limits available on the Platform. A Subscription is purchased as a single, one-off payment and, once paid, does not expire or require renewal.
  • "Subscription Fees" means the one-off fee payable by the Customer in exchange for lifetime access to the Platform under their chosen Subscription.
  • "Third-Party Services" means any external services integrated with or used to support the Platform, including payment processing services provided by Stripe.
  • "Free Trial" means any period during which Nexvisory makes the Platform, or a portion of it, available to a prospective Customer without charge, for evaluation purposes.
  • "Support Services" means the customer support made available to Customers in connection with their use of the Platform, as further described in Section 13.4.

These definitions apply throughout these Terms unless the context clearly requires otherwise. Headings used in these Terms are for convenience only and do not affect their interpretation.

3. Eligibility and Account Registration

3.1 Eligibility

To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into a binding contract. By registering for an Account, you confirm that you meet these requirements.

3.2 Account Creation

To access the Platform, you must create an Account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your Account credentials, including your username and password, and for all activities that occur under your Account.

3.3 Account Security

You agree to notify Nexvisory promptly of any unauthorised use of your Account or any other breach of security. Nexvisory is not liable for any loss or damage arising from your failure to protect your Account credentials or from unauthorised access resulting from your own actions or omissions.

3.4 Authorised Users

Where your Subscription permits multiple Authorised Users, you are responsible for ensuring that each Authorised User complies with these Terms. You remain responsible for all acts and omissions of your Authorised Users in connection with their use of the Platform.

4. Description of the Service

4.1 Overview

Nexvisory provides a web-based business management platform bringing together four core areas of functionality:

  • Customer Relationship Management (CRM): tools for managing customer records, leads, sales pipelines, follow-ups, and customer history.
  • Project Management: tools for creating and organising projects, tasks, deadlines, and team assignments.
  • HR Administration: tools for maintaining employee records, managing leave, supporting onboarding, and storing employee documents.
  • Financial Record-Keeping: tools for creating invoices, recording income and expenses, monitoring payment status, and generating business reports.

4.2 Software Provider Only

Nexvisory is a software provider. We supply the technological tools through which Customers may organise and manage their own business information. Nexvisory does not undertake, manage, or take responsibility for a Customer's business activities, customer relationships, projects, employment relationships, or financial affairs. All Content entered into the Platform is entered by the Customer, for the Customer's own business purposes, and remains the Customer's responsibility at all times.

4.3 No Professional Services

Nexvisory is not a provider of regulated financial, accounting, tax, legal, or payroll services. Specifically, and without limitation:

  • Nexvisory does not hold or transmit customer funds on behalf of third parties, and does not operate as a payment account or custodial service.
  • Nexvisory does not process payroll and is not a payroll provider.
  • Nexvisory does not act as an employer of record. Customers remain the employer in all respects and retain full responsibility for their employees and employment obligations.
  • Nexvisory does not provide accounting advice and does not operate as an accounting firm.
  • Nexvisory does not provide tax advice and does not file tax returns on behalf of Customers.
  • Nexvisory does not provide financial or investment advice.
  • Nexvisory does not provide legal advice.

Nothing on the Platform, including any reports, summaries, or outputs generated through it, should be relied upon as a substitute for advice from a qualified accountant, tax professional, financial adviser, or legal professional. Customers are solely responsible for obtaining appropriate professional advice relevant to their own circumstances.

4.4 Free Trials and Beta Features

From time to time, Nexvisory may offer a Free Trial of the Platform or make certain features available on a beta, early-access, or preview basis. Free Trials and beta features are provided "as is", without warranty of any kind, and may be modified, limited, or withdrawn at any time without notice. Unless otherwise stated at the time of offer, converting a Free Trial into a paid Subscription requires the Customer to complete the applicable one-off Subscription Fee payment before the trial period ends; Customers will be notified of that fee before any charge is made, and no charge occurs automatically without it.

4.5 Changes to the Core Functionality

While Nexvisory may add, refine, or retire individual features over time as described in Section 13, the four core functional areas described in Section 4.1 — CRM, project management, HR administration, and financial record-keeping — represent the intended scope of the Service. Nexvisory does not undertake to expand the Platform into other categories of professional service, and any future functionality will remain subject to the same software-provider limitations described in this Section 4.

5. Subscriptions and Fees

5.1 Subscription Packages

Access to the Platform is provided in exchange for a single, one-off payment. Customers select a Subscription package that determines the features, functionality, and usage limits available to them. Details of current Subscription packages, including pricing and feature comparisons, are available on our website and may be updated from time to time.

5.2 Changes to Subscription Packages

We may introduce new Subscription packages, modify existing packages, or discontinue packages at our discretion. Where reasonably practicable, we will provide Customers with advance notice of any material change that affects their current Subscription.

5.3 Upgrades

Customers may upgrade to a higher-tier Subscription package at any time through their Account settings, subject to any restrictions set out on the Platform. An upgrade is a new one-off charge for the difference described on the Platform at the time of the upgrade, and the new package's features become available as part of that payment.

5.4 Fees and Billing

Subscription Fees are billed as a single, one-off payment at the time of purchase, in exchange for lifetime access to the selected Subscription package. There is no recurring or repeat billing. All fees are exclusive of applicable taxes unless stated otherwise, and such taxes will be added to invoices where required by law.

5.5 Fee Changes

We reserve the right to change our Subscription Fees for future purchases at any time. A fee change does not affect Customers who have already completed the one-off payment for their existing Subscription.

5.6 Failed Payments

Because Subscription Fees are collected as a single payment at the point of purchase, access to the Platform is only granted once that payment has been successfully processed through Stripe. If a payment is not successfully processed, no Account is created and no access is granted; the Customer may attempt payment again.

5.7 No Auto-Renewal

Because each Subscription Fee is a one-off, lifetime payment, Subscriptions do not automatically renew and there is no recurring billing period to cancel. Once purchased, access to the selected Subscription package continues for as long as Nexvisory operates the Platform, subject to these Terms.

5.8 Taxes

You are responsible for any sales tax, VAT, GST, or other applicable taxes associated with your purchase of a Subscription, other than taxes based on Nexvisory's net income. Where required by law, applicable taxes will be calculated and added to your invoice at the point of payment.

6. Payment Processing

6.1 Stripe

All Subscription payments are processed securely through Stripe, a third-party payment processor. Where available, Customers may also make eligible payments via Bacs Direct Debit through the Stripe payment infrastructure.

6.2 No Holding of Funds

Nexvisory does not hold or transmit customer funds on behalf of third parties. Our use of Stripe relates solely to the processing of payments made by Customers for their Nexvisory Subscription. Your use of Stripe's payment services is also subject to Stripe's own terms of service and privacy policy, which you should review separately.

6.3 Payment Information

By providing payment information, you represent and warrant that you are authorised to use the payment method provided and that the information you supply is accurate and complete. You authorise Nexvisory, via Stripe, to charge your chosen payment method for all applicable Subscription Fees.

6.4 Payment Security

Nexvisory does not itself store full payment card details; this information is collected and processed directly by Stripe in accordance with applicable payment card industry security standards. Nexvisory's role is limited to instructing Stripe to process payments in connection with your Subscription and receiving confirmation of successful or failed transactions.

6.5 Currency

Subscription Fees are charged in the currency displayed at the time of purchase. Where your payment method is denominated in a different currency, your card issuer or bank may apply currency conversion fees, for which Nexvisory is not responsible.

7. Money-Back Guarantee and Refunds

7.1 14-Day Guarantee

Nexvisory offers a 14-day money-back guarantee on eligible purchases. This guarantee allows eligible Customers to request a refund within 14 days of their initial purchase, subject to the conditions set out in this Section and our published Refund Policy.

7.2 Eligibility

Not all purchases or circumstances are automatically eligible for a refund under this guarantee. Eligibility is determined in accordance with our published Refund Policy, which may set out specific conditions, exclusions, or requirements. Customers should refer to that policy for full details before making a refund request.

7.3 How to Request a Refund

Refund requests should be submitted through the channels specified in our Refund Policy or by contacting our support team. We will process eligible refund requests within a reasonable time and in accordance with the applicable payment method's standard processing times.

7.4 Refunds Outside the Guarantee Period

Except as required by applicable law or as expressly set out in our Refund Policy, Subscription Fees paid outside the 14-day guarantee period are non-refundable, including in cases of partial use of the Platform or voluntary closure of an Account.

7.5 Chargebacks

If you initiate a chargeback or payment dispute with your bank or card issuer instead of contacting Nexvisory directly, we reserve the right to suspend your Account while the matter is investigated. We encourage Customers to contact our support team in the first instance so that billing concerns can be resolved directly wherever possible.

8. Customer Data and Responsibilities

8.1 Ownership of Customer Data

As between Nexvisory and the Customer, the Customer retains all rights, title, and interest in and to its Content. Nexvisory does not claim ownership over any Customer Data entered into the Platform.

8.2 Accuracy of Information

Customers are solely responsible for ensuring that the information and Content they enter into the Platform — including customer records, leads, project data, employee records, and financial information — is accurate, complete, current, and appropriate for its intended purpose. Nexvisory does not verify, audit, or take responsibility for the accuracy of Customer Data.

8.3 Compliance Obligations

Customers are responsible for ensuring that their use of the Platform, and the information they maintain through it, complies with all applicable laws and regulations relevant to their business, including but not limited to accounting, tax, employment, data protection, and consumer protection laws. Nexvisory provides the tools for organising business information; it does not assume responsibility for a Customer's compliance with such obligations.

8.4 Backups

While Nexvisory takes reasonable steps to maintain the availability and integrity of the Platform, Customers are encouraged to maintain their own independent backups of critical Content where practicable. Nexvisory is not liable for any loss of Content except as expressly set out in these Terms or required by applicable law.

8.5 Licence to Nexvisory

By submitting Content to the Platform, you grant Nexvisory a limited, non-exclusive, worldwide licence to host, store, process, and display that Content solely for the purpose of providing and improving the Service to you, in accordance with our Privacy Policy.

8.6 Data Export

Customers may export their Content from the Platform using the export tools made available within the Account, subject to the limits of their Subscription package. We recommend that Customers periodically export copies of business-critical records, particularly before closing an Account or making significant changes to their use of the Platform.

8.7 Third-Party Data

Where a Customer enters personal data relating to individuals other than themselves — such as customers, leads, or employees — the Customer confirms that it has a lawful basis for collecting and processing that data, and that it has provided any notices or obtained any consents required by applicable data protection law before entering that data into the Platform.

9. Acceptable Use

9.1 Permitted Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms.

9.2 Prohibited Conduct

You must not, and must not permit any Authorised User to:

  • Use the Platform in any way that violates applicable law or regulation;
  • Upload or transmit any Content that is unlawful, defamatory, fraudulent, or infringes the rights of any third party;
  • Attempt to gain unauthorised access to the Platform, other Accounts, or Nexvisory's systems or networks;
  • Interfere with or disrupt the integrity or performance of the Platform, including through the introduction of viruses, malware, or other harmful code;
  • Reverse engineer, decompile, or attempt to extract the source code of the Platform, except where permitted by law;
  • Use the Platform to store or process employee funds, payroll disbursements, or act in a manner inconsistent with Section 4.3;
  • Resell, sublicense, or otherwise make the Platform available to any third party outside the scope of your Subscription without our prior written consent.

9.3 Consequences of Breach

We reserve the right to suspend or terminate access to the Platform, with or without notice, where we reasonably believe a Customer or Authorised User has breached this Section or any other part of these Terms.

9.4 Monitoring

While Nexvisory does not routinely monitor the content of individual Customer records, we reserve the right to investigate suspected violations of this Section, including through automated systems designed to detect abuse, fraud, or security threats, and to take appropriate action, including suspension or termination of access, where a violation is confirmed.

10. Intellectual Property

10.1 Nexvisory IP

The Platform, including its software, design, features, trademarks, logos, and all associated intellectual property rights, is owned by Nexvisory or its licensors. Nothing in these Terms transfers any ownership rights in the Platform to the Customer.

10.2 Limited Licence to Use

Subject to your compliance with these Terms and payment of applicable Subscription Fees, Nexvisory grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes during the term of your Subscription.

10.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Platform, you grant Nexvisory a perpetual, royalty-free, irrevocable licence to use and incorporate such feedback without any obligation to compensate you.

10.4 Trademarks

"Nexvisory" and associated logos are trademarks of Nexvisory. You may not use our trademarks in connection with any product or service without our prior written consent, except as necessary to accurately describe your use of the Platform.

11. Data Protection and Privacy

11.1 Privacy Policy

Our collection, use, and processing of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

11.2 Customer as Data Controller

Where Customer Data includes personal data relating to the Customer's own customers, leads, or employees, the Customer acts as the data controller of that personal data, and Nexvisory acts as a data processor providing the technological infrastructure to store and process that data on the Customer's behalf, in accordance with applicable data protection law and any Data Processing Agreement made available by Nexvisory.

11.3 Security Measures

Nexvisory implements reasonable technical and organisational measures designed to protect Customer Data against unauthorised access, loss, or disclosure. However, no system can be guaranteed to be completely secure, and Nexvisory cannot guarantee absolute security of Customer Data.

12. Third-Party Services

The Platform may integrate with or rely on Third-Party Services, including Stripe for payment processing. Nexvisory is not responsible for the acts, omissions, availability, or performance of Third-Party Services, and your use of such services may be subject to separate terms and policies provided by the relevant third party.

Where a Third-Party Service becomes unavailable, is discontinued, or changes its terms in a way that affects the Platform, Nexvisory will make reasonable efforts to notify affected Customers and, where practicable, to identify a suitable alternative, but Nexvisory does not guarantee the continued availability of any particular Third-Party Service.

13. Service Availability and Modifications

13.1 Availability

We aim to make the Platform available on a continuous basis but do not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.

13.2 Modifications to the Platform

We may modify, update, or discontinue features of the Platform from time to time, in our reasonable discretion, to improve functionality, security, or performance. Where a modification materially reduces the core functionality of a Customer's Subscription, we will provide reasonable notice where practicable.

13.3 Scheduled Maintenance

Where practicable, planned maintenance that is expected to result in significant downtime will be scheduled outside of standard business hours and communicated to Customers in advance through the Platform or by email.

13.4 Support Services

Nexvisory provides Support Services to help Customers make effective use of the Platform, including access to help documentation and a support contact channel. The scope and response times of Support Services may vary depending on the Customer's Subscription package, as described on our website. Support Services do not extend to the provision of accounting, tax, legal, or financial advice, consistent with Section 4.3.

14. Term, Suspension, and Termination

14.1 Term

These Terms remain in effect for as long as you maintain an active Account or Subscription with Nexvisory.

14.2 Termination by the Customer

You may close your Account at any time through your Account settings or by contacting our support team. Because Subscription Fees are a one-off, lifetime payment, there is no recurring charge to cancel; closing your Account ends your access to the Platform and does not, by itself, entitle you to a refund of fees already paid, except as set out in our Refund Policy.

14.3 Termination or Suspension by Nexvisory

We may suspend or terminate your access to the Platform, in whole or in part, if:

  • You breach these Terms and fail to remedy the breach within a reasonable period after notice (where capable of remedy);
  • We reasonably believe your use of the Platform poses a security, legal, or reputational risk to Nexvisory or other Customers;
  • We are required to do so by law or by a competent regulatory authority.

14.4 Effect of Termination

Upon termination of your Subscription, your access to the Platform will cease. We may retain Customer Data for a limited period following termination in accordance with our data retention practices, after which such data may be permanently deleted. Customers are encouraged to export any Content they wish to retain prior to termination.

15. Disclaimers

15.1 "As Is" Basis

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, Nexvisory disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

15.2 No Professional Advice

As set out in Section 4.3, Nexvisory does not provide accounting, tax, financial, investment, legal, payroll, or employer-of-record services. Any reports, summaries, or outputs generated by the Platform are provided solely as organisational tools based on information entered by the Customer, and must not be relied upon as professional advice.

15.3 Accuracy of Content

Nexvisory does not warrant the accuracy, completeness, or reliability of any Customer Data or Content entered into the Platform by Customers or Authorised Users, as such Content is entered and controlled entirely by the Customer.

16. Limitation of Liability

16.1 Exclusion of Certain Damages

To the fullest extent permitted by applicable law, Nexvisory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages.

16.2 Cap on Liability

To the fullest extent permitted by applicable law, Nexvisory's total aggregate liability arising out of or in connection with these Terms, whether in contract, tort, or otherwise, shall not exceed the total Subscription Fees paid by the Customer to Nexvisory for their current Subscription.

16.3 Exceptions

Nothing in these Terms limits or excludes Nexvisory's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

17. Indemnification

You agree to indemnify and hold harmless Nexvisory, its officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your Content or use of the Platform; (c) your violation of any applicable law or the rights of a third party; or (d) any dispute between you and a third party, including your own customers or employees, arising from your use of the Platform.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

18.2 Dispute Resolution

In the event of a dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the matter informally by contacting Nexvisory's support team. If the dispute cannot be resolved informally within a reasonable period, either party may pursue the matter in accordance with the jurisdiction and courts specified in this Section, or through such alternative dispute resolution mechanism as the parties may agree in writing.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. Where changes are material, we will provide reasonable notice, such as by email or through a notice on the Platform, prior to the changes taking effect. Your continued use of the Platform after the effective date of any updated Terms constitutes acceptance of those changes. If you do not agree to the updated Terms, you should stop using the Platform and may close your Account in accordance with Section 14.

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any other referenced policies, constitute the entire agreement between you and Nexvisory regarding your use of the Platform, superseding any prior agreements or understandings.

20.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

20.3 No Waiver

Nexvisory's failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

20.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Nexvisory's prior written consent. Nexvisory may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.

20.5 Force Majeure

Nexvisory shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, internet or utility failures, or governmental action.

20.6 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Nexvisory. Nexvisory acts solely as an independent software provider.

20.7 Notices

Nexvisory may provide notices to you via email, through the Platform, or by posting on our website. It is your responsibility to keep your Account contact information up to date.

20.8 International Use

The Platform is administered from the United Kingdom and is intended for use by businesses operating in accordance with the laws of that jurisdiction and any other jurisdictions we may specify from time to time. If you access the Platform from outside these jurisdictions, you do so on your own initiative and are responsible for compliance with any local laws that may apply to your use of the Service, to the extent those local laws apply.

20.9 Export Copies of These Terms

You may request a copy of these Terms, as they applied at any point during your Subscription, by contacting our support team. We recommend that Customers retain their own copy of these Terms for their records at the time of accepting them.
